THESE TERMS OF SERVICE ARE A LEGALLY BINDING CONTRACT BETWEEN MAG MAGNA CORP. (“OUR”, “WE” OR “US”) AND THE USER OF THE SERVICES (“USER” OR “YOU”). UPON USING THE SERVICES, YOU AFFIRM THAT YOU HAVE COMPREHENDED, READ, AND CONSENTED TO BE GOVERNED BY THE TERMS LAID OUT IN THESE TERMS OF SERVICE.
1. Consent to Terms of Service
Mag Magna Corp. offers the Services – via Subscription Plan under the condition that you agree to abide by all of these Terms of Service, unaltered, and also adhere to all other operational regulations, policies, and procedures that may be periodically published by Mag Magna Corp. regarding the Services. Mag Magna Corp. retains the discretion to decline service to any individual or entity and to adjust its eligibility requirements as deemed necessary, at its sole discretion.
2. Definitions
- “Service” (Services): Refers to the consultancy services provided by Mag Magna Corp., including but not limited to data analysis, strategic planning, assessing the impact of the environment on poultry farming operations, and optimizing bird feeding processes and the Poultry Wellness Guide API service.
- “Client” (Clients, Users): Any individual or entity utilizing the Services provided by Mag Magna Corp. under the terms described herein.
- “Consultation” (Consultations): Refers to the advisory sessions and recommendations provided by Mag Magna Corp. through its consultancy Services, aimed at optimizing poultry farming, including but not limited to nutrition strategies and antibiotic-free practices. Consultations include a single consultation (1.5 hours) and the following consultation sets: a set of 3 topics of consultancy, a set of 5 topics of consultancy, and a set of 7 topics of consultancy.
- “API”: Stands for Application Programming Interface, specifically referring to the Poultry Wellness Guide API service provided by Mag Magna Corp. The Poultry Wellness Guide API is an AI-powered tool designed to assist in diagnosing and managing chicken diseases based on breed and symptoms, offering expert recommendations for prevention and treatment. The service covers a variety of 12 common chicken breeds. It provides users with instant access to a comprehensive database that includes detailed information on symptoms, potential causes, and effective management strategies for each breed-specific condition.
- “Content”: All forms of information, data, text, photographs, videos, and scripts submitted or accessed through the Services.
- “Subscription Plan”: The service plan chosen by the Client to access Mag Magna Corp.’s Consultation Services or the Poultry Wellness Guide API.
3. Forbidden Activities
By accessing and using the Service, you agree to comply with the Terms of Service and refrain from any prohibited activities. Specifically, in the context of consultations services and API, you are prohibited from (and must not permit others to) engage in actions, including the submission of any Content, that: infringe on the rights of others; are threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of privacy, tortious, obscene, offensive, or profane; constitute unauthorized or unsolicited advertising, spam, or bulk messages; contain viruses or malicious code; or involve impersonation.
Additionally, it is strictly forbidden for Сlients to share any materials, advice, or information obtained through the consultation services or the Poultry Wellness Guide with other individuals or entities. You must not: (i) take actions that impose an unreasonable or disproportionately large load on the Mag Magna Corp. infrastructure; (ii) disrupt or interfere with the proper operation of the Service or any activities conducted on it; or (iii) circumvent any security measures implemented by Mag Magna Corp. to regulate access to the Service. Unauthorized distribution of consultation materials, advice, or any information provided through the consultation services or API is a violation of these terms and may result in termination of your access to the Service and legal action.
4. Modifications to These Terms of Service
The right to amend or revise these Terms of Service at any time is reserved by Mag Magna Corp. Any alterations will take effect immediately upon the publication of the updated Terms of Service on our website. It is incumbent upon you to periodically review these Terms of Service to remain abreast of any modifications. Your ongoing utilization of the Service subsequent to any revisions being enacted signifies your consent to the updated Terms of Service.
5. Subscription Requirement
5.1 Consultation Services
To access our consultancy services, a subscription purchase is required. The appropriate Subscription plan will be determined based on the topic of consultation, which you will provide when filling out the contact form on the website (https://magmagna.com/). Submitting your topic of consultation allows us to recommend a suitable plan from our existing subscription options. Failure to subscribe to a recommended plan will be considered a violation of our Terms of Service. You are responsible for reviewing and confirming the subscription plan that aligns with your requirements. We do not refund money for subscriptions to users. If the customer orders a single consultation (1.5 hours), the invoice is issued and paid on the same day the consultation is provided. For consultation sets, the invoice is issued and paid on the same day, which is regarded as purchase date. The consultations are to be conducted within 30 days from the purchase date.
5.2 Poultry Wellness Guide
To access our Poultry Wellness Guide API, a subscription purchase is required. The appropriate Subscription Plan for API service will be determined based on the amount of requests per month. Subscription plans are detailed and available for review on our website (https://magmagna.com/). Failure to subscribe to a recommended plan will be considered a violation of our Terms of Service. On our website, you can try the Free Trial version (3 requests per day). You are responsible for reviewing and confirming the Subscription Plan that aligns with your requirements. We do not refund money for subscriptions to users. The invoice is issued and paid on the day of the purchase date.
6. Legacy Terms for Previous Consultations
The mentioned rules do not apply to users who have paid for the consultancy Services and API access earlier. These users retain rights according to the Terms of Service documents that were current at the time of their original purchase. However, if these users wish to renew their subscription, the new Terms of Service will apply, and the rules will change for these Clients.
7. Nonprofit Utilization
You are prohibited from reselling or redistributing consultancy services and the Poultry Wellness Guide, whether for profit or not. Any attempt to sell or share the service without explicit authorization is a violation of our service terms. Violation of this policy may result in termination of access to our service.
8. Service ownership
You acknowledge that the consultancy services and the Poultry Wellness Guide are the property of Mag Magna Corp. and that you have no rights to use them except as explicitly permitted in these Terms of Service. Additionally, you agree that we may use any data derived from your use of the consultancy services or the Poultry Wellness Guide globally and incorporate it into other works in any form, media, or technology currently known or developed in the future, for the entire duration of any applicable rights.
9. Liability Limitations
Mag Magna Corp., along with its directors, employees, agents, partners, suppliers, and Content providers, shall not be liable for any indirect damages associated with the service. This includes, but is not limited to, loss of profits and data.
10. Disclaimer
THE SERVICES ARE PROVIDED «AS IS» AND «AS AVAILABLE» WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Miscellaneous
The Terms of Service constitute the complete agreement between you and Mag Magna Corp. regarding the Service. No agency, partnership, joint venture, or employment relationship arises from the Terms of Service, and neither party has the authority to bind the other in any manner. These terms are specific to you and cannot be assigned or transferred without prior written consent from Mag Magna Corp. We reserve the right to assign, transfer, or delegate any of its rights and obligations without requiring consent.
12. Applicable Law
These Terms of Service shall be construed and applied according to the laws of the State of California, without consideration of any choice of law or conflict of law rules.
